1. Introduction
1.1 Mission and Purpose
Welcome to Action Network (actionnetwork.world), a platform operated by Weltweit – Gesellschaft zur Förderung lokaler Initiativen e.V. Our mission is to connect individuals and organizations working on local and global initiatives, fostering collaboration, knowledge-sharing, and collective action for positive social change.
The platform is operated as a not-for-profit service in furtherance of the operator’s charitable purposes. We provide a free core tier accessible to all users, with optional paid subscription plans that help fund the platform’s operation and development.
1.2 Acceptance of These Terms
By accessing or using the Action Network platform (“Platform”, “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Platform.
If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your acceptance of these Terms will be treated as acceptance by that organization.
1.3 Updates to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Platform or by sending you an email. Your continued use of the Platform after such notice constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform.

2. About the Platform
2.1 Services Provided
The Platform offers the following features and services:
- User Profiles: Create a personal profile with name, bio, specialty, interests, tags, location, and avatar.
- Organization Profiles: Establish organization profiles with name, description, logo, team members, and verification status.
- Opportunity Discovery: Browse, search, and filter opportunities posted by organizations.
- Matching System: Tag-based matching for opportunities and connections, providing automated suggestions (not endorsements).
- Networking: Connect with other users and organizations within the network.
- Interactive Map: View network members and their approximate locations using Mapbox mapping services.
- Workspaces: Create and participate in shared collaboration spaces with members and coordinators, deliverables, activity tracking, and optional Google Drive integration for file management.
- Notifications: Receive in-app and email digest notifications for matches, connections, opportunities, and workspace activity, all individually configurable in your account settings.
- API Access Tokens: Generate personal access tokens allowing external tools (e.g., AI agents) to access your platform data via the platform API.
- Support & Feedback: Contact us via our support contact form and submit feedback through our GitHub-based feedback system.
Some features require a paid subscription plan (see Section 4d below).
2.2 Not-for-Profit Operation and Paid Plans
The Platform is operated by a registered non-profit association (eingetragener Verein) in furtherance of its not-for-profit charitable purposes. A free core tier remains available to all users at no cost. We offer optional paid subscription plans (Solo and Org) that fund the Platform’s operation, maintenance, and development. The availability of paid plans does not alter the operator’s non-commercial, charitable nature.
2.3 No Guarantee of Availability
While we strive to provide reliable and uninterrupted service, we do not guarantee that the Platform will be available at all times or free from errors, interruptions, or security vulnerabilities. We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice.
3. Eligibility and Registration
3.1 Eligibility
You must be at least 16 years old to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement and that all information you provide is accurate and complete.
3.2 Account Creation
To access certain features, you must create an account through our Keycloak identity provider. During the onboarding process, you will be asked to provide personal information such as your name, email address, and profile details. You agree to provide accurate, current, and complete information and to update this information as necessary to keep it accurate.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.
3.4 One Account Per Person
You may only create and maintain one personal account. Creating multiple accounts for the same individual is prohibited.
4. Organizations
4.1 Creating an Organization
Users may create organization profiles to represent legal entities, initiatives, or groups. When creating an organization, you represent that you have the authority to act on behalf of that organization and to bind it to these Terms.
4.2 Organization Membership
Organizations operate on an invitation-based membership system. Organization administrators may invite users to join, and users may accept or decline such invitations. Members’ roles and permissions within an organization are managed by organization administrators.
4.3 Organization Verification
Organizations may apply for verification to confirm their legitimacy and, where applicable, eligibility for NGO discount pricing tiers. Verification is conducted at the operator’s reasonable discretion and may require submission of supporting documentation. Verified status may be revoked if information is found to be inaccurate or if the organization no longer meets verification criteria.
4a. Workspaces
4a.1 Creating and Managing Workspaces
Users may create workspaces for shared collaboration. Each workspace is identified by a unique identifier (ID) and has an editable URL slug generated from the workspace title. Workspace creators and coordinators may edit the workspace title and slug at any time through workspace settings. Workspace mode (task-mode or project-mode) is set at creation and cannot be changed thereafter.
4a.2 Workspace Roles
Workspaces have two types of participants: members and coordinators. Coordinators have elevated permissions, including the ability to manage workspace settings, invite or remove members, assign roles, and control access to workspace resources. Members have access to workspace content and collaboration features as configured by coordinators.
4a.3 Deliverables
Workspaces support deliverables, which are workspace-scoped tasks, documents, or milestones. Deliverables are managed by workspace members and coordinators and are visible only to workspace participants.
4a.4 Google Drive Integration
Workspaces offer optional integration with Google Drive for file storage and management. If you choose to connect your Google Drive account, files and documents are stored on Google’s infrastructure, not on the Platform. The Platform acts solely as an interface to access and manage your Google Drive files. You may disconnect your Google Drive account at any time through workspace settings. Use of Google Drive is governed by Google’s Terms of Service and Privacy Policy.
4a.5 Platform Not Responsible for Third-Party Storage
The Platform has no control over the availability, reliability, security, or content of files stored on Google Drive or other third-party storage services. We are not responsible for any loss, corruption, unauthorized access, or other issues arising from your use of third-party storage services.
4b. Notifications
4b.1 Types of Notifications
The Platform may send you notifications related to your use of the Service, including:
- Match Alerts: Notifications of potential matches based on your profile tags and interests.
- Connection Alerts: Notifications when other users connect with you or respond to your connection requests.
- Opportunity Alerts: Notifications of new opportunities that may be relevant to you.
- Workspace Alerts: Notifications of activity, updates, or changes in workspaces you are a member of.
- Email Digest: Periodic summary emails of platform activity and notifications.
4b.2 User Control
All notification types are individually configurable in your account settings. You may enable or disable any notification type at any time. Certain administrative or transactional messages (such as password reset emails or account security alerts) may be sent regardless of your notification preferences.
4b.3 Email Delivery via Third-Party
Email notifications are delivered via Brevo (formerly Sendinblue), a third-party email service provider. By using the Platform, you consent to the transmission of your email address and notification content to Brevo for the purpose of delivering notifications. Brevo’s processing of your data is governed by its own privacy policy.
4c. API Access Tokens
4c.1 Purpose
The Platform allows you to generate personal API access tokens that enable external services and tools (such as AI agents or automation scripts) to access your platform data on your behalf via the platform API.
4c.2 Token Generation and Security
When you generate an API access token, the unhashed token is displayed to you once. After you close or navigate away from the token display, the token cannot be retrieved again. Only a cryptographic hash of the token is stored on our servers. You are solely responsible for securely storing and managing your tokens.
4c.3 User Responsibility
You must treat your API access tokens with the same level of security as your account password. You are solely responsible for any use of the Platform via your tokens, whether authorized or unauthorized. Do not share your tokens with untrusted parties or embed them in publicly accessible code or repositories.
4c.4 Revocation
You may revoke any API access token at any time through your account settings. Revocation takes effect immediately, and any requests made with a revoked token will be denied.
4c.5 Platform Liability
We are not liable for any unauthorized use of your API access tokens that results from your failure to keep them secure or your failure to revoke them promptly after they are no longer needed or have been compromised.
4d. Subscriptions, Fees and Payment
4d.1 Free Tier and Paid Plans
The Platform offers three subscription tiers:
- Free: A core tier available to all users at no cost, including access to community features, networking, self-management tools, and participation in workspaces to which you are invited.
- Solo: A paid individual subscription that includes access to the opportunities module, task-mode workspaces, personal wiki, and individual AI features, in addition to all Free tier features.
- Org: A paid subscription billed to a legal entity (organization), providing all Solo features for all organization members, plus collaborative workspaces, funder intelligence, proposal engine, and project management tools.
Current features and pricing for each tier are available on our pricing page and at checkout.
4d.2 Fees and Currency
All fees are denominated in Euros (EUR). Prices shown on the pricing page and at checkout are current as of the date displayed. Where applicable, statutory value-added tax (VAT) is applied in accordance with applicable tax law:
- EU consumers (Solo): Prices displayed include applicable VAT at the rate applicable in your country of residence. VAT is remitted by the operator via the One-Stop Shop (OSS) regime.
- EU business customers (Org) with a valid VAT identification number: The reverse charge mechanism applies. VAT is not charged by the operator; you are responsible for self-accounting for VAT in your jurisdiction. You must provide a valid VAT identification number (VIES-validated) at checkout.
- Customers outside the European Union: No EU or German VAT is charged. You are responsible for any applicable taxes in your jurisdiction.
Note: The operator is VAT-registered. The VAT treatment described above is contingent on correct configuration of the billing system (including Stripe Tax, OSS registration, and VIES validation). This clause is subject to legal and finance review to confirm accuracy.
4d.3 Billing Cycle and Auto-Renewal
Paid subscriptions are billed on a recurring basis, either monthly or annually, as selected by you at checkout. Annual billing includes a discount compared to monthly billing. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. For annual consumer subscriptions, the subscription remains cancelable at any time after the initial term (see Section 4d.7).
4d.4 Free Trials
There is a single shared 60-day free-trial budget per email address. A Solo trial grants up to 30 days and an Org trial up to 60 days, each capped by your remaining budget — for example, after a 30-day Solo trial, a subsequent Org trial grants the remaining 30 days, not a fresh 60. Once your trial budget is exhausted, subsequent checkouts are charged from day one.
A valid payment method (credit or debit card) is required to start a trial. Your payment method will not be charged during the trial period. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription and your payment method will be charged the applicable recurring fee.
4d.5 NGO Discount Tiers
Verified civil-society organizations are eligible for discounted pricing tiers based on the World Bank income classification of the organization’s country of operation (OECD / Upper-Middle-Income Country / Lower-Middle-Income Country / Low-Income Country). Discount tiers are assigned automatically at verification approval based on the organization’s country, at the operator’s reasonable discretion. Verification is the eligibility gate for discounted pricing; verification is not required to start a trial.
4d.6 Payment Processing
Payment processing is handled by Stripe, a third-party payment processor. The Platform does not store your full credit or debit card number. By providing payment information, you authorize Stripe to charge your payment method for the applicable fees. Your use of Stripe is governed by Stripe’s Terms of Service and Privacy Policy.
4d.7 Cancellation
You may cancel your paid subscription at any time through your billing settings or the Stripe Customer Portal (Kündigungsbutton, § 312k BGB). Cancellation sets your subscription to cancel at the end of the current paid period. You will retain access to paid features until the end of the period for which you have paid. No further charges will be made after cancellation takes effect.
If payment fails and your subscription enters a past due status, you have a 7-day grace period to update your payment method. If payment is not received within the grace period, your subscription will be downgraded to the Free tier. If you cancel your subscription, you keep access to paid features until the end of the current paid period, after which it downgrades to the Free tier.
4d.8 Plan Changes
You may upgrade from Solo to Org at any time by completing a new checkout for the Org plan. When you upgrade from a paid Solo plan to a paid Org plan that bills immediately, your Solo subscription will be automatically canceled and any unused portion of your Solo subscription fee will be refunded on a prorated basis.
To downgrade from a higher-tier plan to a lower-tier plan, you must first cancel your current subscription. After the current paid period ends and your subscription downgrades to the Free tier, you may then subscribe to the lower-tier paid plan.
4d.9 Refund Policy
Ordinary self-service cancellation does not entitle you to a refund. When you cancel, you retain access to paid features until the end of the period for which you have already paid. No refund is provided for the remainder of that period.
Prorated refunds are provided only in the following circumstances:
- When you upgrade from a paid Solo plan to a paid Org plan that bills immediately, the unused portion of your Solo subscription fee is automatically refunded.
- When an administrator force-cancels your subscription with a refund (e.g., for support or partnership reasons).
Your statutory consumer rights, including the right of withdrawal (see Section 4e), are unaffected by this refund policy.
4d.10 Changes to Plans and Fees
We reserve the right to change the features, benefits, or fees associated with any subscription plan at any time. We will provide you with advance notice of any material changes to fees or plan features. If you do not agree to the changes, you may cancel your subscription before the changes take effect, in accordance with Section 4d.7.
4d.11 Non-Payment and Suspension
If your payment method is declined or payment otherwise fails, your subscription will enter a past due status. You will have a 7-day grace period to update your payment information and resolve the payment issue. If payment is not received within the grace period, your subscription will be downgraded to the Free tier. Your access to free-tier features will not be affected by non-payment of a paid subscription.
4e. Right of Withdrawal (Widerrufsrecht — Consumers Only)
4e.1 Applicability
This Section 4e applies only to consumers (Verbraucher within the meaning of § 13 BGB) who subscribe to the Solo plan. Org plan customers are businesses (Unternehmer within the meaning of § 14 BGB) and do not have a statutory right of withdrawal.
4e.2 Right of Withdrawal (Widerrufsbelehrung)
Right of Withdrawal
You have the right to withdraw from this contract within 14 days without giving any reason.
The withdrawal period will expire after 14 days from the day of the conclusion of the contract (the day you complete checkout and your subscription begins).
To exercise the right of withdrawal, you must inform us of your decision to withdraw from this contract by an unequivocal statement (e.g., via our support contact form, or via the “Vertrag widerrufen” button in your billing settings, as required by § 356a BGB). You may use the model withdrawal form provided in Section 4e.5 below, but it is not obligatory.
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of Withdrawal
If you withdraw from this contract, we shall reimburse to you all payments received from you, without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.
4e.3 Early Access and Loss of Right (§ 356 Abs. 4 BGB)
Your right of withdrawal expires upon full performance of the service (vollständige Erfüllung). An ongoing subscription is not fully performed within 14 days; therefore, you retain the right of withdrawal during the 14-day period even after you have begun using the paid features.
However, if you expressly request that we begin performance of the service before the end of the withdrawal period, and if we obtain from you a separate, active acknowledgement (not a pre-ticked checkbox) that:
- You are aware that you will lose your right of withdrawal upon full performance of the contract, and
- You are aware that you will owe proportional compensation (Wertersatz) for the value of the service provided up to the point of withdrawal if you exercise your right of withdrawal after performance has begun,
then we may begin performance immediately. If this express consent and acknowledgement are not properly obtained, you are entitled to a full refund with no obligation to pay Wertersatz if you withdraw.
4e.4 Proportional Compensation (Wertersatz, § 357 BGB)
If you withdraw from the contract after expressly requesting early performance and after providing the acknowledgement described in Section 4e.3, you must pay us an amount that is in proportion to what has been provided until you have communicated to us your withdrawal from this contract, in comparison with the full coverage of the contract. The proportional amount is calculated on a pro-rata basis for the portion of the subscription period during which you had access to the paid features.
If the required express consent and acknowledgement were not properly obtained at checkout, no Wertersatz is owed and you are entitled to a full refund.
4e.5 Model Withdrawal Form (Muster-Widerrufsformular)

5. User Conduct
5.1 General Obligations
You agree to use the Platform in a lawful, respectful, and responsible manner. You are solely responsible for your conduct and any content you submit, post, or transmit through the Platform.
5.2 Prohibited Conduct
You agree not to:
- Violate any applicable local, national, or international law or regulation.
- Infringe the intellectual property rights, privacy rights, or other rights of any third party.
- Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, discriminatory, or otherwise objectionable.
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation.
- Transmit any viruses, malware, or other malicious code, or otherwise interfere with or disrupt the Platform or servers or networks connected to the Platform.
- Attempt to gain unauthorized access to any portion of the Platform, other users’ accounts, or any systems or networks connected to the Platform.
- Use any automated means (such as bots, scrapers, or crawlers) to access or collect data from the Platform without our prior written permission.
- Use the Platform to engage in any fraudulent, deceptive, or manipulative activity.
- Encourage or facilitate any violation of these Terms.
5.3 Reporting Violations
If you become aware of any conduct or content that violates these Terms, please report it to us via our support contact form. We reserve the right, but are not obligated, to investigate and take appropriate action, including removing content, suspending or terminating accounts, and reporting illegal conduct to law enforcement authorities.
6. User Content
6.1 Your Content
You retain ownership of all content that you submit, post, or transmit through the Platform (“User Content”), including text, images, profile information, and any other materials. You are solely responsible for your User Content and the consequences of posting or publishing it.
6.2 Licence Grant
By submitting User Content to the Platform, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content solely for the purpose of operating, providing, promoting, and improving the Platform. This licence is limited to what is necessary for the operation of the Platform and does not grant us any rights beyond those necessary for that purpose.
6.3 Content Standards
You represent and warrant that your User Content:
- Does not violate any applicable law or regulation.
- Does not infringe any intellectual property rights, privacy rights, or other rights of any third party.
- Does not contain any viruses, malware, or other harmful code.
- Does not contain any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, discriminatory, or otherwise objectionable material.
- Is accurate and not misleading.
6.4 Uploaded Images
When you upload images (such as profile photos or organization logos) to the Platform, those images are processed (including EXIF data removal) and stored on our content delivery network (CDN). Uploaded images are publicly accessible via the CDN. By uploading an image, you confirm that you have the right to use and distribute that image and that it complies with the content standards in Section 6.3.
6.5 Content Removal
We reserve the right, but are not obligated, to monitor, review, and remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful, objectionable, or otherwise inappropriate. We may remove such content without prior notice.
6.6 Feedback
If you submit feedback, suggestions, or ideas about the Platform through our GitHub-based feedback system, you acknowledge that such feedback may be publicly visible as a GitHub issue and may include your optional email address if you choose to provide it. By submitting feedback, you grant us an unrestricted, perpetual, irrevocable, royalty-free licence to use, modify, and incorporate such feedback into the Platform without any obligation to you.
7. Matching and Opportunities
7.1 Matching System
The Platform uses a tag-based matching system to suggest potential connections and opportunities based on the information in your profile and the profiles of other users and organizations. These suggestions are automated and are not endorsements, recommendations, or guarantees of quality, suitability, reliability, or compatibility. You are solely responsible for evaluating and verifying any connections or opportunities suggested by the matching system.
7.2 Opportunities
Organizations may post opportunities (such as volunteer positions, collaboration proposals, or project invitations) on the Platform. The Platform does not verify, endorse, or guarantee the accuracy, legality, safety, or quality of any posted opportunities. You are solely responsible for evaluating any opportunity before engaging with it. We disclaim all liability for any harm, loss, or damage arising from your participation in or reliance on any opportunity posted on the Platform.
7.3 No Employment or Agency Relationship
The Platform is a networking and collaboration tool. We are not an employment agency, recruitment service, or party to any agreement, transaction, or relationship between users or between users and organizations. Any such agreements, transactions, or relationships are solely between the parties involved, and we have no responsibility or liability in connection with them.
8. Intellectual Property
8.1 Platform Ownership
The Platform, including its design, layout, text, graphics, logos, software, and all other content provided by us (excluding User Content), is owned by or licensed to Weltweit – Gesellschaft zur Förderung lokaler Initiativen e.V. and is protected by copyright, trademark, and other intellectual property laws.
8.2 Limited Licence to You
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose, subject to these Terms. You may not copy, modify, distribute, sell, lease, or reverse-engineer any part of the Platform without our prior written consent.
8.3 Open-Source Components
The Platform incorporates certain open-source software components. Such components are governed by their respective open-source licences, which are available upon request. Nothing in these Terms limits your rights under those open-source licences.
9. Third-Party Services
The Platform integrates with and relies upon certain third-party services. Your use of these third-party services is governed by their respective terms of service and privacy policies. We have no control over and assume no responsibility for the content, availability, privacy practices, or conduct of any third-party service. The third-party services used by the Platform include:
- Keycloak: Self-hosted identity provider for authentication (registration, login, password management).
- Stripe: Payment processor for paid subscription plans (based in the United States). Stripe handles payment card data; the Platform does not store your full card number. Governed by Stripe’s Terms of Service and Privacy Policy.
- Mapbox: Mapping service for the interactive map feature (based in the United States). Only approximate location coordinates are transmitted; no personally identifiable information is sent to Mapbox. Governed by Mapbox’s Terms of Service and Privacy Policy.
- Better Stack / Logtail: Logging and error-tracking service (based in the European Union). Error and diagnostic data is transmitted to Better Stack for monitoring and debugging purposes. Governed by Better Stack’s Terms of Service and Privacy Policy.
- Brevo / Sendinblue: Email service provider (based in the European Union) for contact form emails and notification emails. Governed by Brevo’s Terms of Service and Privacy Policy.
- GitHub / Microsoft: Feedback and issue-tracking service (based in the United States). Feedback submitted through the Platform is posted as a GitHub issue and may include your optional email address if you provide it. Governed by GitHub’s Terms of Service and Privacy Policy.
- Google Drive: Optional file storage and management service (based in the United States) for workspace file integration. Files are stored on your own Google Drive account, governed by Google’s Terms of Service and Privacy Policy. The Platform acts solely as an interface; we have no control over Google Drive’s availability, security, or content.
We are not liable for any harm, loss, or inconvenience resulting from the unavailability, malfunction, or conduct of any third-party service.
10. Disclaimer of Warranties
The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
We do not warrant that:
- The Platform will be available, uninterrupted, secure, or error-free.
- The results obtained from the use of the Platform will be accurate or reliable.
- Any errors or defects in the Platform will be corrected.
- The Platform will meet your requirements or expectations.
Your use of the Platform is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied.
11. Limitation of Liability
11.1 Liability Under German Law
Our liability is governed by German law. We are liable without limitation for damages resulting from:
- Intentional misconduct (Vorsatz) or gross negligence (grobe Fahrlässigkeit) on our part or on the part of our legal representatives or vicarious agents.
- Injury to life, body, or health caused by a negligent breach of duty on our part or by intentional or negligent breach of duty on the part of our legal representatives or vicarious agents.
- Breach of a fundamental contractual obligation (Kardinalpflicht) — an obligation whose fulfilment is essential to the proper performance of the contract and on whose compliance you may reasonably rely. In cases of simple negligent breach of a fundamental contractual obligation, our liability is limited to compensation for foreseeable, typically occurring damages.
- Claims under the Product Liability Act (Produkthaftungsgesetz).
Except as provided above, our liability for damages is excluded.
11.2 User-Generated Content
We are not liable for any User Content posted by third parties on the Platform, including but not limited to any errors, omissions, defamation, obscenity, or inaccuracies contained in such User Content. You acknowledge that you may be exposed to User Content that is inaccurate, offensive, or otherwise objectionable, and you agree that we have no liability to you for such content.
11.3 Free-Tier Gratuitous Service (§§ 521, 599 BGB)
To the extent that you use the free tier of the Platform (as described in Section 4d.1), the service is provided on a gratuitous basis (unentgeltlich). Under German law governing gratuitous services (in particular §§ 521, 599 BGB), our liability for simple negligence (einfache Fahrlässigkeit) is excluded, except for injury to life, body, or health, and except for liability under the Product Liability Act.
This limitation applies exclusively to the free tier. If you subscribe to a paid plan (Solo or Org), your use of paid features is governed by the ordinary statutory liability regime, not the reduced gratuitous-service standard, and our liability is determined in accordance with Section 11.1 above.
12. Indemnification
You agree to indemnify, defend, and hold harmless Weltweit – Gesellschaft zur Förderung lokaler Initiativen e.V., its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
- Your use of or inability to use the Platform.
- Your User Content.
- Your violation of these Terms.
- Your violation of any rights of any third party, including intellectual property rights, privacy rights, or other proprietary rights.
- Your conduct in connection with the Platform.
We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence of such claim.
13. Account Termination
13.1 Termination by You
You may terminate your account at any time by deleting your account through the account settings. Upon termination, your account and profile information will be deleted in accordance with our Privacy Policy (available at /privacy). If you have an active paid subscription, cancellation of your subscription is separate from account deletion; please refer to Section 4d.7 for subscription cancellation terms.
13.2 Termination or Suspension by Us
We reserve the right to suspend or terminate your account, or to restrict your access to all or part of the Platform, at any time and for any reason, including but not limited to:
- Violation of these Terms.
- Conduct that we determine, in our sole discretion, to be harmful to the Platform, other users, or third parties.
- Non-payment of fees for paid subscriptions (see Section 4d.11).
- Requests by law enforcement or other government authorities.
- Discontinuance or material modification of the Platform or any part thereof.
We will make reasonable efforts to notify you before suspending or terminating your account, except where we determine that immediate action is necessary to protect the Platform, other users, or third parties, or where we are required by law to act without notice.
13.3 Effect of Termination
Upon termination of your account, your right to use the Platform will immediately cease. Any provisions of these Terms that by their nature should survive termination (including but not limited to Sections 6.2, 6.6, 8, 11, 12, and 16) will survive termination.
14. Data Protection
Your use of the Platform is also governed by our Privacy Policy, available at /privacy. The Privacy Policy explains how we collect, use, store, and share your personal data, and your rights under the General Data Protection Regulation (GDPR) and other applicable data protection laws. By using the Platform, you consent to the collection and use of your data in accordance with our Privacy Policy.
15. Dispute Resolution
15.1 Amicable Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Platform, you agree to first contact us via our support contact form to seek an amicable resolution.
15.2 Consumer Dispute Resolution
We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) within the meaning of the German Consumer Dispute Resolution Act (Verbraucherstreitbeilegungsgesetz – VSBG).
16. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict of law provisions and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
If you are a consumer habitually resident in another European Union member state, you also enjoy the protection of mandatory provisions of consumer protection law in your country of residence.
For disputes arising out of or in connection with these Terms, the exclusive place of jurisdiction is Frankfurt am Main, Germany, to the extent permitted by law. If you are a consumer, statutory provisions regarding jurisdiction (in particular the consumer’s right to bring proceedings in their place of residence) remain unaffected.
17. Severability (Salvatorische Klausel)
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced by a valid, legal, and enforceable provision that most closely reflects the original intent of the parties.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Weltweit – Gesellschaft zur Förderung lokaler Initiativen e.V. regarding your use of the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.
